In ordine alla (in-)sussistenza delle ipotesi delittuose di cui agli arti. 640 e 644 c.p. con riferimento alla stipula di contratti “derivati”: considerazioni a margine di una recente sentenza di merito (nota alla sentenza del Tribunale di Lecco del 20 febbraio 2018, n. 1103)

Abstract

In a recent judgment the Court of Lecco acquitted five bank employees charged of fraud (640 c.p.) and usury (art. 644 c.p.) with regard to the closing of five IRS contracts. The reading of this judgment is the starting point for some considerations about (in-)compatibility between these crimes and the behaviour concerning the closing of IRS contracts. In particular, after the exam of sector regulations and civil case law, is argued that the mere breach of information obligation provided for investor protection may not be considered as the fraudulent behaviour punished by art. 640 c.p.; as well as, the solely (eventual) negative effects of the contract for the investor as the unlawful profit required by the same article. Similarly, considering the scheme of the crime of usury (art. 644 c.p.), on the one hand, and the uncertainty of the IRS contract, on the other, is argued about the incompatibility of this crime with respect this category of contracts.
